POSITION OVERVIEW
The Legal Manager shall be providing routine legal advice to ensure that the Fund operates within all legal and regulatory frameworks, effectively manages all its’ legal risks, and complies with corporate governance principles. Reporting to the Director, Legal and Board Secretariat, the Manager shall provide the required legal advisory services to all Fund operation units, oversee management of the Legal Division, and support the Board Secretariat and Executive Committee to effectively execute their respective roles.
KEY RESPONSIBILITIES
A. Legal, Compliance & Risk Management
To provide routine legal advice to the Fund’s Board Secretariat, Executive Committee, and all other departments/units.
To develop and implement the Fund’s internal policies, procedures, guidelines, and department strategies.
To ensure the Fund complies with applicable national, international, and industry-specific laws and regulations.
To draft or review, contracts/agreements, Memoranda of Understanding, and any other documents affecting the Fund.
To conduct or oversee processes of resolving disputes involving the Fund
To collaborate and manage service level agreements between the Fund and its’ external legal service provider(s).
To conduct relevant legal research and ensure the Fund complies with new regulations, if any.
To provide legal advice and support to the Fund’s procurement and disposal unit and Human Capital Department.
To set team performance targets and conduct regular performance reviews.
B. Board and Executive Committee Support
Coordinate preparations for Executive Committee meetings, including timely agenda setting, document preparation and circulation (minutes, reports, papers and presentations).
Draft and submit minutes, extract resolutions, and any formal communications arising from Executive Committee meetings for the Director’s consideration.
Ensure appropriate measures are implemented to safely and properly store all digital and physical file(s) containing all legal and corporate governance data of the Board and Executive Committee.

MINIMUM QUALIFICATIONS & EXPERIENCE
Bachelor’s degree in Law (LLB) with First Class or Second-Class Upper Honors from an NCHE-accredited university.
Postgraduate Diploma in Legal Practice.
Certificate of Enrolment and at least five (5) successive practicing certificates inclusive of a valid practicing certificate for 2025 as an Advocate of the Courts of Judicature of Uganda.
At least five (5) years of post-qualification experience in a legal managerial role within the financial sector, a top-tier law firm, regulatory or government agency.
A current letter issued by the Law Council certifying whether the candidate is involved in on going Council disciplinary proceedings or not.
Added Advantages
Master’s degree in Commercial Law, Corporate Law, Banking and Finance, or closely related fields.
Proven experience in contract negotiation, litigation, legal risk management, and legal advisory.
Professional certification in ICSA, contract management or procurement law.
Experience in company secretarial duties, corporate governance, employment law, and intellectual property rights.
